SOFTWARE DEVELOPMENT WORK AGREEMENT Project: WealthMatchDating Mobile Application This Software Development Work Agreement ("Agreement") is entered into on the __15__ day of _September__, 2026, by and between the following parties: The Developer and the Client may each be referred to individually as a "Party" and collectively as the "Parties." THE DEVELOPER THE CLIENT Nexodus Mr. Wealth ("Developer") ("Client") 1. Project Overview The Client engages the Developer to design, build, test, and deploy a mobile dating and matchmaking application named "WealthMatchDating" (the "App"). The App is intended to differentiate itself through a verified Trust Score system, compatibility-based matching, and a strong emphasis on user safety, in addition to standard dating-app functionality. 2. Scope of Work The Developer shall design and build the App with the following features, organized by module: 2.1 Onboarding & Verification • Phone and/or email verification • Profile photo upload • Photo verification using a selfie match • Collection of basic profile information: age, location, gender, and orientation • Compatibility tasks and questions in place of a traditional bio, designed to reveal personality, interests, and compatibility 2.2 Trust Score Layer • A visible Trust Score for each user, calculated from photo/selfie verification, phone verification, profile completeness, response and engagement rate, and account/report history • Optional social proof through linked social accounts • A visible verification badge for verified users • Ability for users to filter potential matches by a minimum Trust Score 2.3 Discovery & Matching • Swipe or card-based discovery experience • Compatibility-based matching using responses, prompts, and completed tasks • Recommendations based on shared interests and task responses • Age filters, distance filters, and minimum Trust Score filters • A verified-only toggle 2.4 Chat & Conversations • Standard real-time messaging between matched users • Compatibility-based conversation starters • Shared-interest prompts and suggested opening questions 2.5 Profile • Profile photos, bio, and basic information • Compatibility answers and prompts • Trust Score and verification badges displayed on the profile • Interests and preferences 2.6 Safety & Reporting • Block and report functionality with clear reporting categories • Review and moderation workflow for reported accounts • Trust Score impact for reported or flagged behavior, where appropriate • Safety and verification indicators visible throughout the App 2.7 Monetization (Freemium Model) • Free tier: limited daily swipes, basic discovery filters, standard matching and messaging, and basic profile features • Premium tier: unlimited swipes, "see who liked you," advanced discovery filters, minimum Trust Score filtering, verified-only matching, profile boosts/increased visibility, and additional premium features as the platform evolves 3. Project Timeline The Developer shall complete development, testing, and publishing of the App within five (5) weeks from the effective date of this Agreement, subject to the Client providing timely feedback, content, and any required credentials or assets. Any delay caused by the Client's failure to provide timely feedback or materials shall extend the timeline accordingly. 4. App Publishing In addition to development, the Developer shall be responsible for publishing the App to the relevant app store(s) (including, where applicable, the Google Play Store and/or Apple App Store) under the Client's developer account(s), or under the Developer's account with ownership transferred to the Client, as agreed between the Parties prior to launch. 5. Payment Terms The total project fee, payment schedule (e.g., deposit, milestone payments, final payment), and currency shall be agreed upon separately in writing by both Parties and attached to this Agreement as an addendum. Deliverables Upon completion, the Developer shall deliver: (a) a fully functional version of the App covering all features listed in Section 2; (b) the App published and live on the agreed app store(s); and (c) access credentials or documentation reasonably necessary for the Client to manage the App going forward. 7. Intellectual Property Upon full and final payment, all rights, title, and interest in the completed App, including its source code, design assets, and associated intellectual property created specifically for this project, shall be transferred to and owned by the Client, except for any third-party libraries, frameworks, or tools used under their own licenses. 8. Confidentiality Each Party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other Party in connection with this Agreement, and not to disclose such information to third parties without prior written consent, except as required by law. 9. Warranty & Post-Launch Support The Developer warrants that the App will function substantially in accordance with the scope described in Section 2 at the time of delivery. The Developer shall provide bug-fix support for defects reported within a reasonable period following launch, as agreed separately between the Parties. Support beyond this period, including new features or major changes, shall be handled as a separate engagement. 10. Termination Either Party may terminate this Agreement upon written notice if the other Party materially breaches its obligations and fails to remedy the breach within a reasonable period after being notified. In the event of termination, the Client shall pay the Developer for all work satisfactorily completed up to the date of termination. 11. General Provisions This Agreement constitutes the entire understanding between the Parties regarding the project described herein and supersedes any prior discussions or agreements, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both Parties. 12.
